Terms of Service

Effective date: 28 March 2026. These terms apply to all users of the Peni application.

1. About Peni

Peni is a personal reminder application that helps you track items you have borrowed, lent, or owe. The service is operated by Peni Labs ("Peni", "we", "our", or "us"). By creating an account or using Peni, you agree to these Terms of Service in full. If you do not agree, do not use the service.

These terms constitute a legally binding agreement between you and Peni Labs. We recommend you read them in full.

2. Eligibility

You must be at least 13 years of age to use Peni. By using the service, you represent that you meet this requirement and that the information you provide is accurate and complete. If you are under 18, you confirm that your parent or legal guardian has reviewed and agreed to these terms on your behalf.

3. Your account

You must register using a valid email address. You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. If you suspect your account has been compromised, contact us immediately at support@getpeni.com.

You may only hold one account per person. Accounts created to circumvent service limits, impersonate others, or abuse promotional offers will be suspended or terminated without notice.

4. Free and Pro plans

Peni offers a free tier and a paid Pro subscription. The free tier permits up to 15 active reminders and access to the default theme. The Pro subscription includes unlimited reminders, all available themes, dark mode, and any additional features we designate as Pro-only.

We reserve the right to adjust the features available on each plan. If we reduce features available to existing Pro subscribers, we will provide at least 30 days notice before the change takes effect. We may introduce new Pro features without notice.

5. Payments and subscriptions

Pro subscriptions are billed on a monthly ($3.99 USD) or annual ($27.99 USD) basis. All payments are processed by our third-party payment processor. By subscribing, you authorise recurring charges to your payment method until you cancel.

Your subscription renews automatically at the end of each billing period. You must cancel before the renewal date to avoid being charged for the next period. Cancellation takes effect at the end of the current billing cycle and you retain Pro access until that date.

We do not offer partial refunds for unused subscription time except where required by applicable law. If a payment fails, we will make reasonable attempts to retry the charge. After repeated failures, your account will revert to the free tier.

All fees are displayed in US dollars and are exclusive of any applicable taxes, which will be added at checkout where required by law.

6. EU consumer right of withdrawal

If you are a consumer based in the European Union, you have the right to withdraw from a digital service contract within 14 days of purchase without giving a reason. However, by requesting immediate access to Peni Pro upon purchase, you expressly consent to the service commencing before the 14-day withdrawal period has expired, and you acknowledge that you thereby waive your right of withdrawal once the service has been fully performed.

7. Your content

All content you create within Peni, including reminder titles, notes, names, and any photos you upload, belongs to you. We do not claim any ownership over your content. You grant us a limited, non-exclusive licence to store, process, and display your content solely for the purpose of providing the service to you.

You are responsible for ensuring that the content you add does not infringe the rights of any third party or violate any applicable law. We reserve the right to remove any content that, in our reasonable judgement, violates these terms.

8. Intellectual property

All rights in the Peni application, including its design, code, name, logo, and all associated materials, are owned by or licensed to Peni Labs. Nothing in these terms transfers any intellectual property rights to you.

You may not reproduce, modify, distribute, create derivative works from, or reverse-engineer any part of the service without our prior written consent.

You agree not to use Peni for any purpose that is unlawful or prohibited by these terms. In particular, you agree not to:

You may delete your account at any time from within the app via Settings. Deletion permanently removes all your data, including reminders, notes, photos, and account information. This action cannot be undone. Please refer to our Privacy Policy for details on data retention following deletion.

11. Service availability and changes

We aim to keep Peni available at all times but cannot guarantee uninterrupted availability. We may suspend access for maintenance, updates, or unforeseen technical issues and will make reasonable efforts to provide advance notice for planned downtime.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

12. Disclaimer of warranties

Peni is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

13. Limitation of liability

To the maximum extent permitted by applicable law, Peni Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including loss of data, loss of profits, or loss of goodwill.

Our total aggregate liability to you for any claims arising out of or relating to these terms shall not exceed the greater of: (a) the total amount you paid to us in the 12 months preceding the event giving rise to the claim; or (b) €10.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Peni Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the service in breach of these terms; (b) your content; or (c) your violation of any applicable law or the rights of any third party.

15. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email or by displaying a prominent notice within the app before the changes take effect. Your continued use of the service after the effective date of any changes constitutes your acceptance of the updated terms.

16. Governing law and disputes

These terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Finland, except that EU consumers retain the right to bring proceedings in the courts of their country of residence under applicable mandatory consumer protection laws.

EU consumers may also submit complaints to the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Apple App Store notice

If you download or use Peni through Apple's App Store, you acknowledge that: (a) these terms are between you and Peni Labs only, and not with Apple Inc.; (b) Apple has no obligation to provide maintenance or support for the application; (c) Apple is not responsible for any claims you or any third party may have relating to the application; and (d) Apple and its subsidiaries are third-party beneficiaries of these terms and, upon your acceptance, Apple has the right to enforce these terms against you as a third-party beneficiary.
